Terms of Service – Sleeping Beagle

1. Acceptance of Terms

By creating an account, accessing, or using the Sleeping Beagle service (the "Service"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

• You must be at least 18 years old to use Sleeping Beagle.
• Residents of embargoed or restricted countries (per EU/OFAC laws) may not use the Service.
• The Service is available to both businesses and individuals.

3. The Service

Sleeping Beagle provides:

• AI-powered product photography tools (batch generation, style variations, AI image editor).
• Product video generation from images.
• Auxiliary tools like background remover, object remover, upscaler, and gallery asset storage.

We may update or remove features at any time at our discretion.

4. Ownership of Output

• You retain full ownership rights over images, videos, and other outputs generated through Sleeping Beagle.
• We assign all rights, title, and interest in generated outputs to you, to the maximum extent permitted by law.
• You remain solely responsible for ensuring your use of outputs does not violate laws, third-party rights, or intellectual property.

5. User Responsibilities

You agree that you will not use the Service to:

• Generate or share illegal, obscene, pornographic, violent, defamatory, discriminatory, or infringing content.
• Create deepfakes of individuals or misuse trademarks.
• Upload viruses, malicious code, or attempt to interfere with the security of the Service.

You are solely responsible for all content you upload, generate, or distribute. We expressly disclaim liability for any misuse of your generated content.

6. Account & Data

• You are responsible for maintaining the confidentiality of your account.
• We may suspend or terminate accounts that violate these Terms.
• Uploaded assets are retained while you maintain an active subscription. After subscription cancellation, we retain assets for 6 months, then delete them.

7. Payments & Refunds

• Payments are handled by Polar (Merchant of Record), responsible for VAT/GST collection.
• All subscriptions auto-renew until cancelled.
• Refunds in cash are not provided. If you encounter malformed outputs (e.g., prompt not respected, generation error), we may grant replacement credits at our discretion.

8. Termination & Suspension

We may suspend or terminate your access immediately, without notice, if you:

• Breach these Terms.
• Fail to pay subscription fees.
• Misuse the Service in any way we reasonably consider harmful or unlawful.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not guarantee:

• That outputs will meet your expectations.
• That the Service will be uninterrupted, error-free, or secure.
• That AI-generated outputs will be free from defects.

10. Limitation of Liability

To the maximum extent permitted by law:

• Sleeping Beagle's total liability for any claim under these Terms is limited to the subscription fees you paid in the 3 months preceding the claim.
• We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, loss of data, reputational damage, or damages arising from misuse of AI outputs.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sleeping Beagle and its officers, employees, and affiliates against any claims, damages, or expenses arising from:

• Your misuse of the Service.
• Your violation of these Terms.
• Your use of AI outputs in ways that infringe on third-party rights or laws.

12. Data Processing & Privacy

• Use of the Service is subject to our Privacy Policy and Cookie Policy.
• We may process data via approved third-party providers outside the EU, including (but not limited to): Cloudflare, R2, PostHog, PlanetScale, Sentry, OpenRouter, and Gemini.
• Where applicable, we implement EU Standard Contractual Clauses to safeguard data transfers.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Romania.
• Any dispute arising under these Terms shall first attempt informal resolution.
• If unresolved, disputes shall be subject to mandatory arbitration in Romania, conducted in English, unless local law expressly prohibits arbitration.

14. Changes to the Terms

We may update these Terms from time to time. Updates will take effect upon posting on this page with a new "Last Updated" date. By continuing to use the Service, you agree to the updated Terms.
